Smooga Ltd (Otherwise known as “the Company”) Terms & Conditions of Purchase
Standard Terms Unless Otherwise Agreed
All prices are nett, carriage and VAT are also strictly nett.
Payment of invoices becomes due on receipt of our invoice. Standard terms are full payment of invoice 7 days following delivery date unless otherwise agreed or stated. Payments received will first be set against any Credit Surcharges owed and only items will be set against Invoices, commencing with the oldest invoice.
Pro forma Terms
Payment must be received in full prior to the goods being processed.
Title To The Goods
Goods supplied by the Company is on an ‘ALL MONIES’ basis and the title to the goods does not pass to the purchaser until the account is paid for in full and reached a nil balance.
Credit Surcharge
Sums which are ‘overdue’ and have not been paid by the stated agreed period, may be surcharged at the rate of 1.5% (compound) per calendar month or part calendar month thereafter.
We understand and will exercise our statutory rights to interest under the Late Payment of Commercial Debts (Interest) Act 1998 if we are not paid according to agreed credit terms.
Prices
The Purchase Price is based on the prevailing costs at the time of the quotation. If in the period up to the completion of the Contract, there is any increase in cost to the Company or a variation in the services required, then the Contract Price shall be amended accordingly and be confirmed on a subsequent Order Acknowledgement. Prices quoted are exclusive of VAT and any other taxes, levies or similar charges whatsoever, all of which shall be paid by the Customer. Queries to any pricing or other details given on the order acknowledgement must be received 3 days prior to delivery. Prices on the company web site are exclusive of VAT and delivery costs.
Delivery
Under exception of Strikes, Fires and other unforeseen circumstances.
We endeavour to offer timed and dated deliveries where possible. However, this will be subject to the individual constraints of our chosen hauliers’ own terms and conditions. Similarly, we ask for deliveries to be offloaded at, or as close as possible to the site of installation. If there is limited or no access to the site, the haulier may deliver materials to the nearest safe location.
The Customer shall be liable for and shall indemnify the Company against claims from injuries sustained by persons and loss of or damage to other persons property arising during the delivery period howsoever caused unless such injury loss or damage results from a negligent act or omission from the Company.
Quality
We reserve the right to use alternative materials or products of a similar quality, specification or performance when we find that they are more suitable or necessary.
Carriage Charges
Each item/system has a carriage charge shown as appropriate for this item, where more than one item or multiple items are ordered for the same address, the carriage charge will be proportionately reduced. This is calculated by taking the highest carriage for a single item/system and reducing the charge for every subsequent quantity or item ordered.
Please note carriage charges stated for long length items such as Football and Rugby Posts or heavy items such as Self Weighted Posts are not applicable to Devon, Cornwall, Scotland and Wales. Please contact the Smooga sales office for a quotation. For all goods transported to the Highlands of Scotland or by water to such destinations as Ireland, Orkney Isles, Channel Islands etc. carriage charges will apply to all goods and will be higher than those given in any price List. Contact Smooga sales office for details. Carriage will be charged at the current rate.
Non-delivery or Damage
If goods are not received within 10 days from date of invoice (or other specified date as per Order Acknowledgement) we must be notified immediately, otherwise no responsibility can be accepted. Damaged or part delivery must be advised within 3 days of receipt of goods.
Returns
No goods can be accepted back for credit without the permission of a director from Smooga Ltd in writing. A minimum 20% handling and re-stocking charge will apply depending on the condition the goods are received back in. In addition, a minimum carriage of £250.00 will apply. Final charges will depend upon distance travelled, number of vehicles and persons required. The company will require full access to the site to allow safe re-stacking, loading and collection of the goods. Customers incorrectly refusing a collection will be subject to additional minimum charges of £75 per refusal. This will not apply in the case of justifiable complaint regarding the quality or condition of the goods.
Health and Safety
The Customer shall comply with all information and guidance with regard to the use and maintenance of any equipment provided by Smooga Ltd, Company Agents or Sub-contractors. The Customer shall communicate to Smooga Ltd such as these regulations and conditions as may affect the services and indemnify the Company against all liabilities arising from non-compliance with any of the said regulations and conditions unless resulting from negligent act or omission of the Company.
Warranty Statement
Smooga Ltd offer a 12 month fair wear and tear manufacturer’s warranty on all items supplied. All complaints are subject to assessment of fault. Regular inspections and maintenance should be carried out and recorded to comply with warranty conditions.
Service Disputes
Any disputes regarding our level of service, or quality of goods, must be brought to our attention within 3 days following delivery date.
